1. About 3R & Our Services

These Terms & Conditions govern all services provided by 3R Consulting Limited (“we”, “us”, or “3R”) to you, the client (“you” or “Client”). By engaging any of our services, you agree to be bound by these Terms.

We offer the following services:

  • Website Care & Performance
    Maintenance, performance & webhosting via third-party providers
  • Website Design
    WordPress development
  • SEO / AI Optimisation
    Search visibility & AI presence
  • Google Ads
    Paid search management
  • Social Media
    Paid & organic management
  • Marketing Strategy
    Planning & consulting

Specific deliverables, timelines, and fees for each engagement are set out in your individual proposal email. These Terms apply across all services unless a specific section states otherwise.

2. Website Care & Performance Service

Our Website Care & Performance Service is designed to maintain the ongoing technical health, security, and performance of your WordPress website. It includes:

  • WordPress core, plugin, and theme updates
  • Security monitoring and performance optimisation
  • Website uptime monitoring and automated backups
  • Minor technical support
  • Hosting via professional third-party infrastructure providers

This is a proactive maintenance service. It is not a development contract, a redesign service, or a guarantee of uptime or performance.

Emergency or urgent work, including website outages, critical errors, or security incidents, may be prioritised outside normal scheduling and may incur additional charges.

Response times are not guaranteed unless explicitly agreed as part of a separate service level agreement.

Any additional work carried out on your website beyond the scope of the plan will be charged at the rates set out in Section 7.

Please do not make changes to your website without consulting 3R first — unauthorised changes can harm your SEO rankings, Google Ads performance, and conversion rates.

3. WordPress Website Design

Our website design service covers custom WordPress website builds. The following terms apply specifically to this service.

Design process & revisions

We will provide you with a homepage draft design. You may request up to 3 revisions to the homepage — these are included in the quoted price. Any revisions beyond this will be charged at €60 + VAT per hour.

Once you have approved the homepage design, all further edits to the website template will be charged at €60 + VAT per hour.

Page layouts

The quoted price includes a maximum of 5 distinct page layouts, for example home, services, about, contact, and blog. Any additional layouts required beyond this will be charged separately.

Website changes

Please do not make changes to your website without consulting 3R first. Unauthorised changes can negatively affect your SEO rankings, Google Ads performance, and conversion rates.

4. SEO & AI Optimisation

Our SEO and AI optimisation service improves your visibility in traditional search engines and AI-driven discovery platforms. Deliverables and scope are defined in your proposal email.

We actively plan, implement, and optimise SEO strategies to improve your visibility in search engines and AI-driven discovery platforms. This may include technical optimisation, on-page improvements, content recommendations, and authority-building activities.

SEO is a long-term process. While we apply industry best practices and data-driven strategies, specific rankings, traffic levels, or outcomes cannot be guaranteed, as results depend on factors outside our control, including search engine algorithms, competitor activity, and market conditions.

Search engines and AI platforms, including Google and other providers, regularly update their algorithms and systems. These changes may positively or negatively impact performance, and we cannot be held responsible for fluctuations caused by such updates.

We may provide recommendations related to your website structure, content, or technical setup. Implementation of these recommendations is your responsibility unless explicitly included in your agreed scope of work.

Where we create or advise on content, final responsibility for accuracy, legality, and compliance, including regulated industries, remains with you.

Any third-party SEO activities, such as link building or external content placements, must be approved by us in advance. We are not responsible for negative outcomes caused by third-party SEO work carried out without our involvement or approval.

We currently utilise a number of best-in-industry third-party plugin tools in addition to Google Analytics to optimise your results.

Performance reporting is based on available data from analytics and SEO tools. Variations may occur due to tracking limitations, data sampling, or third-party tool discrepancies.

Please always consult with us before engaging any third-party link building services. Low-quality or unvetted link building can negatively affect your SEO rankings and may undo progress made on your behalf.

You agree not to engage in practices that may harm your website’s search performance, including spam tactics, low-quality backlinks, or duplicate content, while we are actively managing your SEO.

Article writing commissioned as part of SEO work is charged at €100 + VAT per 1,000+ words, unless otherwise stated in your proposal.

5. Google Ads Management

Where 3R manages your Google Ads account, the following terms apply.

You pay for ad clicks directly to Google via a payment method linked to your own Google Ads account. Ad spend is separate from our management fee. You retain full ownership of your Google Ads account at all times.

We actively manage, optimise, and develop your campaigns to achieve the best possible performance based on your objectives, budget, and market conditions. This includes ongoing adjustments to targeting, bidding, creatives, and overall account strategy.

While we apply best practices and data-driven optimisation, specific results, such as clicks, conversions, or ROAS, cannot be guaranteed, as performance depends on external factors such as competition, seasonality, and market conditions.

Campaign performance is strongly influenced by your website and landing pages. We may provide recommendations, but implementation is outside the scope of Google Ads management unless agreed otherwise.

We follow Google Ads policies and best practices when managing your account. However, responsibility for the legality, accuracy, and compliance of your products, services, and advertising claims remains with you.

While we take care to minimise risk, ad disapprovals, account restrictions, or suspensions may occur. We will support you in addressing such issues where possible, but reinstatement cannot be guaranteed.

Accurate performance reporting depends on correct tracking implementation across your website and platforms, for example conversion tracking and analytics. Where tracking is managed by third parties or modified outside our control, data discrepancies may occur.

You agree to provide and maintain the necessary access to your Google Ads account and any related platforms required for campaign management. Delays in access, approvals, or required materials may impact performance and timelines.

While 3R is managing your Google Ads account, please do not make changes without consulting us first. Uncoordinated changes can negatively affect campaign performance and data accuracy.

6. Social Media Management

We offer both paid social media advertising and organic social media management. Specific platforms, posting frequency, ad budgets, and deliverables are defined in your proposal email.

For organic social media management, we create and schedule content based on an agreed content plan. You are responsible for reviewing and approving content where required.

We do not guarantee specific engagement levels, follower growth, or viral reach, as these depend on platform algorithms and audience behaviour.

Timely feedback and approvals are required to maintain posting schedules. Delays may result in missed posting opportunities or reduced campaign effectiveness.

You are responsible for the accuracy and legality of all published content, including claims, offers, and compliance with platform policies.

Please consult us before making changes to any social accounts or running additional paid promotions independently, to avoid conflicting activity or budget waste.

6A. Paid Social Advertising — Meta Ads Management

Where 3R manages your Meta Ads, including Facebook, Instagram, or other Meta platforms, the following terms apply.

You pay for advertising spend directly to Meta via your own ad account. Ad spend is separate from our management fee. You retain ownership of your ad account at all times.

We actively manage, optimise, and develop your campaigns based on your objectives, audience targeting, creatives, and budget. This includes adjustments to targeting, bidding, placements, and ad creatives.

While we apply best practices and ongoing optimisation, specific results, such as reach, leads, conversions, or return on ad spend, cannot be guaranteed due to factors outside our control, including audience behaviour, competition, and platform changes.

Meta platforms frequently update their algorithms, targeting capabilities, and policies. These changes may affect campaign performance and available targeting options.

You are responsible for the legality, accuracy, and compliance of your ads, including claims made, products/services advertised, and adherence to applicable regulations.

Ad disapprovals, account restrictions, or bans may occur. We will assist in resolving issues where possible, but reinstatement is not guaranteed.

Campaign performance is heavily dependent on the quality of creative assets, including images, videos, copy, and landing pages. We may provide recommendations, but implementation is outside scope unless agreed.

You agree to provide timely access to your Meta Business Manager, ad account, pixel, and any related assets. Delays in access or approvals may impact campaign performance and timelines.

While 3R is managing your campaigns, please do not make changes to campaigns, audiences, or budgets without consulting us first, as this may negatively affect performance and data consistency.

7. Fees, Billing & Rates

The fees for your specific service are set out in your proposal email. The following standard rates apply where additional work is required, unless previously advised by us and accepted by you.

  • Additional development / design work: €60 + VAT / hour
  • Homepage revision beyond 3 included: €60 + VAT / hour
  • Article / blog writing: €100 + VAT / 1,000+ word articles
  • Additional page layouts beyond 5: Quoted separately
  • Post-termination migration assistance: Quoted separately

Monthly recurring services are billed in advance. Annual plan options, where offered, are payable upfront and are non-refundable once the service has commenced.

If payment becomes overdue, we may suspend services, restrict access, or pause active work. Reasonable notice will be provided where possible.

8. Cancellation & Termination

Either party may terminate any ongoing service agreement with 30 days’ written notice. For recurring monthly services, we ask that you give us at least 2 weeks’ notice before your intended cancellation date to allow us to wrap up work in an orderly manner.

Upon termination of website-related services, we will provide a full website backup including files and database. Migration assistance is available for an additional fee.

Annual plan fees are non-refundable. The full agreed term remains in effect regardless of early cancellation.

9. Infrastructure & Third-Party Services

We deliver services using professional third-party infrastructure including hosting, DNS providers, CDNs, email providers, and domain registrars. These services operate independently and their performance is outside our direct control.

We do not own physical servers — we manage the technical configuration of your website on your behalf. While we aim to maintain high availability, uptime is not guaranteed and interruptions may occur due to third-party systems.

We are not responsible for failures caused by plugins, themes, external integrations, or discontinued third-party software.

10. Your Responsibilities

To allow us to deliver services effectively, you agree to:

  • Provide necessary administrative access to relevant accounts and platforms
  • Maintain secure passwords and update them when required
  • Keep your domain registration current and paid
  • Maintain your own independent copies of critical business data
  • Notify us promptly of any unusual behaviour across your website, ads, or social accounts
  • Consult 3R before making any changes to platforms we actively manage

We are not responsible for failures caused by expired domains, incorrect credentials, or third-party account mismanagement by you or others acting on your behalf.

11. Data Protection — GDPR

You are Data Controller. We are Data Processor.

We process your data only to deliver the services, and only under your instructions. Data may be stored within the EEA or in compliant jurisdictions with appropriate safeguards. You authorise us to use sub-processors where required.

We will assist with basic GDPR configuration settings where applicable; however, we do not take responsibility for your GDPR compliance or any other legal or regulatory obligations. You remain solely responsible for ensuring your business operates in accordance with applicable law.

We implement automated backups for website care clients; however, backups are not guaranteed and you remain responsible for maintaining your own copies of critical data.

11A. Intellectual Property

All materials created by 3R, including designs, ad creatives, strategies, and written content, remain the intellectual property of 3R until full payment has been received.

Upon full payment, you are granted a non-exclusive, non-transferable licence to use the deliverables for your business purposes.

We reserve the right to reuse general knowledge, strategies, and non-confidential concepts across other clients.

We may display non-confidential work as part of our portfolio unless otherwise agreed in writing.

12. Limitation of Liability

To the fullest extent permitted under Irish law, we are not liable for loss of revenue or profit, loss of data, business interruption, or reputational damage.

Our total liability to you shall not exceed the fees you have paid to us in the previous 12 months.

Nothing in these Terms limits liability for death, personal injury, fraud, or any other liability that cannot be excluded by law.

13. Testimonial

Once you are satisfied with the work carried out, you agree to provide 3R with a written testimonial. This testimonial may be published on our website at 3r.ie, accompanied by a link back to your website.

14. Acceptance

By sending us an email confirming you wish to proceed with any of our services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions in full. No formal signature is required — your email go-ahead is sufficient to form a legally binding agreement.

We will retain a record of that confirmation, including the date, time, and your identity, as proof of acceptance.

14A. Content, Approvals & Delays

Where content, creatives, or materials require your approval, you agree to provide feedback within a reasonable timeframe.

If no response is received within 5 working days, we reserve the right to proceed based on the last approved version or pause the work until confirmation is received.

Delays in approvals, feedback, or required materials may impact timelines, campaign performance, and delivery of services. We are not responsible for delays caused by lack of client input.

Where you provide content, assets, or instructions, you confirm that you have the right to use them and that they do not infringe any third-party rights.

15. Governing Law

These Terms are governed by the laws of Ireland. All disputes are subject to the exclusive jurisdiction of the Irish courts.
